In addition, when using our Services, you shall be subject to any posted guidelines or rules applicable to such Services.

All services are provided subject to separate service agreements that outline specific deliverables, timelines, and payment terms.

4. User Accounts

4.1 Account Creation

To access certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that:

• Violate these Terms of Service
• Provide false or misleading information
• Engage in fraudulent or illegal activities
• Pose security risks to our Services

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Services and their original content, features, and functionality are and will remain the exclusive property of Strategia Insights and its licensors. Our Services are protected by copyright, trademark, and other laws of both the United States and foreign countries.

5.2 Your Intellectual Property

Client data, proprietary information, and pre-existing intellectual property remain your property. We claim no ownership rights over client data provided for analytics services.

5.3 License to Use

We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Services for your internal business purposes, subject to these Terms.

5.4 Restrictions

You agree not to:

• Copy, modify, or create derivative works of our Services
• Reverse engineer, decompile, or disassemble our technology
• Remove any copyright or proprietary notices
• Use our Services for any illegal purpose

6. Client Responsibilities

When using our Services, you agree to:

7. Payment Terms

7.1 Fees

• Initial deposit upon project commencement

7.3 Late Payments

Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate allowed by law, whichever is lower.

7.4 Taxes

All fees are exclusive of taxes. You are responsible for all applicable sales, use, value-added, or other taxes associated with your use of our Services.

8. Confidentiality

8.1 Definition

"Confidential Information" means any non-public information disclosed by either party to the other, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

8.2 Obligations

Each party agrees to:

• Use Confidential Information only for the purpose of fulfilling obligations under these Terms
• Protect Confidential Information with at least the same degree of care used to protect its own confidential information
• Disclose Confidential Information only to employees, contractors, or advisors who need to know and who are bound by confidentiality obligations

8.3 Exceptions

Confidentiality obligations do not apply to information that:

• Was publicly available at the time of disclosure
• Becomes publicly available through no fault of the receiving party
• Was already in the receiving party's possession without confidentiality restrictions
• Is independently developed without reference to the disclosing party's information
• Must be disclosed by law or court order

9. Data Protection and Privacy

Both parties agree to comply with applicable data protection laws. We will process personal data only as instructed by you and in accordance with our Privacy Policy.

9.1 Data Processing Agreement

For services involving the processing of personal data, a separate Data Processing Agreement (DPA) may be required to ensure compliance with data protection regulations such as GDPR or CCPA.

9.2 Security Measures

We implement and maintain appropriate technical and organizational security measures to protect data against unauthorized access, alteration, disclosure, or destruction.

10. Limitation of Liability

10.1 Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 Limitation of Damages

IN NO EVENT SHALL STRATEGIA INSIGHTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
• ANY CONTENT OBTAINED FROM THE SERVICES
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

10.3 Maximum Liability

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

11. Indemnification

You agree to defend, indemnify, and hold harmless Strategia Insights and its licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our Services.

12. Termination

12.1 By You

You may terminate your account at any time by contacting us at legal@strategiainsights.com.

12.2 By Us

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

12.3 Effect of Termination

Upon termination, your right to use our Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

13.2 Arbitration

Any dispute arising from or relating to these Terms shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

13.3 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED ON A CLASS-ACTION BASIS OR TO UTILIZE CLASS ACTION PROCEDURES.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
